Welcome to Synergyy Inc (www.synergyy.io). By accessing or using our platform, you agree to be bound by these Terms of Use. If you do not agree, you may not access or use our services. These Terms constitute a binding agreement between you and Synergyy Inc.

Acceptance of Terms

By creating an account, accessing, or using any part of the Synergyy platform, you acknowledge that you have read, understood, and agree to these Terms, our Privacy Policy, and any additional terms applicable to specific services.

Eligibility

To use the platform:

  • Developers must be at least 18 years old, legally able to work, and meet the qualification requirements outlined during onboarding.

  • Clients must either:

    • Represent a legitimate business or organization and have the authority to enter into agreements on behalf of their entity, or

    • Be founders, entrepreneurs, or individuals intending to build a registered business and demonstrate a valid need for services provided by Synergyy Inc.

  • Users must provide accurate and complete information during registration and maintain the accuracy of their account details.

User Responsibilities

a. Proper Use of the Platform

  • Users must use the platform only for lawful purposes in accordance with these Terms
  • Users agree not to misrepresent their identity, qualifications, or intent.

b. Account Security

  • Users are responsible for maintaining the confidentiality of their account credentials.
  • Notify us immediately of any unauthorized use of your account.

c. Providing Accurate Information

  • Users must provide and update accurate, complete, and truthful information in their accounts and interactions.

Service Description

Synergyy Inc offers the following services:

  • Talent Matching: Connecting vetted tech talent with global businesses/founders.
  • Payroll and Compliance: Handling payments, taxes, and legal compliance for developer-client engagements.
  • Platform Tools: Providing tools for recruitment, hiring, and collaboration.
  • Technology Solutions: Offering services such as software development, website development, mobile app development, and UI/UX design.

Prohibited Activities

Users may not:

  • Engage in fraudulent, unlawful, or malicious activities.
  • Infringe on the intellectual property or privacy rights of others.
  • Use the platform to distribute harmful content, such as viruses or malicious code
  • Attempt to bypass or undermine our security measures.
  • Impersonate other users or Synergyy staff.

Payment Terms

a. Clients

  • Fees are outlined in the service agreement and are payable as specified.
  • Disputes regarding billing must be submitted within 30 days of the charge.

b. Developers

  • Payments will be processed through Synergyy’s payroll structure as per agreed terms
  • Developers are responsible for any personal liabilities unless otherwise specified.

Intellectual Property

  • Synergyy Inc retains all rights to platform content, branding, and intellectual property.

  • Users grant Synergyy a limited license to use submitted content (e.g., resumes, job posts) for platform-related purposes.

  • Users must respect the intellectual property rights of other parties.

Dispute Resolution

a. Negotiation

Parties agree to first attempt resolution through good-faith negotiation.

b. Arbitration

If unresolved, disputes will be referred to binding arbitration in accordance with the Rules of the American Arbitration Association (AAA) for commercial disputes. The arbitration shall take place in Wyoming, and the decision of the arbitrator shall be final and binding on both parties.

c. Jurisdiction and Venue

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming, in each case located in the City of Cheyenne and County of Laramie. However, we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Limitation on Time to File Claims

Any legal action or claim related to these Terms of Use or the Website must be initiated within one (1) year from the date the cause of action arose. Failing this, the claim will be permanently barred.

Termination

We may suspend or terminate accounts or services if:

  • A user violates these Terms or applicable laws.
  • Fraudulent or harmful activities are detected.
  • Continued use poses risks to the platform or other users.

Users may terminate their accounts by contacting us. Upon termination, certain provisions of these Terms will survive (e.g., intellectual property rights and liability limitations).

Liability and Disclaimers

  • Synergyy Inc is not liable for indirect, incidental, or consequential damages arising from the use of our platform.

  • We do not guarantee uninterrupted or error-free service but strive to address issues promptly.

  • Users access and use the platform at their own risk.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of laws principles. Users agree to submit to the exclusive jurisdiction of the courts in Wyoming.

Amendments

We reserve the right to update these Terms at any time. Users will be notified of significant changes through the platform or via email. Continued use of the platform after changes signifies acceptance of the updated Terms.
